Build+ Terms of Service
1. Introduction and Acceptance of Terms
These Terms of Service (“Terms,” “Agreement”) constitute a legally binding contract between Al-Junaid Agency (“Agency,” “we,” “us,” or “our”), and you, the individual or business entity (“Client,” “you,” or “your”) who purchases or uses our Build+ website subscription service.
By signing up for, accessing, or using the Build+ service — including completing an onboarding form, paying an onboarding fee, or activating a subscription plan — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Build+ service.
These Terms should be read in conjunction with our Privacy Policy, which is incorporated herein by reference.
2. About the Build+ Service
2.1 Service Description
The Build+ service is a monthly website subscription offering that includes the custom design, development, managed hosting, SSL certification, ongoing revisions, and technical maintenance of a WordPress website for the Client. The specific deliverables and features available to you are determined by the subscription plan you select.
2.2 Available Plans
We currently offer three (3) subscription tiers under Build+:
Starter Plan — $79/month + $99 one-time onboarding fee
Growth Plan — $149/month + $149 one-time onboarding fee
Elite Plan — $249/month + $199 one-time onboarding fee
A full description of features, revision limits, and support levels for each plan is available on our Build+ pricing page at aljunaid.co/build-plus. Feature availability is subject to change with appropriate notice as outlined in Section 13 of these Terms.
2.3 Subscription Term
All Build+ subscriptions are structured on a minimum 12-month agreement. Monthly billing commences following payment of the one-time onboarding fee. The 12-month term begins on the date the onboarding fee is received.
3. Onboarding and Project Commencement
3.1 Onboarding Fee
Upon selecting a Build+ plan, you will be required to pay a one-time, non-refundable onboarding fee. This fee is separate from the monthly subscription charge and covers:
An initial discovery session to understand your business goals, brand, and requirements;
The creation of initial design concepts and wireframes;
The first development phase and project setup;
Configuration of your managed hosting environment and SSL certificate.
The onboarding fee is due in full before any work begins. Work will not commence until payment is confirmed.
3.2 Client Onboarding Responsibilities
To enable us to begin work on your website, you agree to provide — within 7 calendar days of paying the onboarding fee — all required content and brand assets, including but not limited to:
Your company logo (in vector or high-resolution format);
Brand colours, fonts, and any brand guidelines;
Website copy (text content) for all required pages;
Images, photography, and media assets you wish to use;
Competitor or inspiration website references;
Any existing domain name credentials or hosting login details, if applicable.
Delays in providing these materials may result in a corresponding delay in the project timeline. We will not be held responsible for delivery delays attributable to the Client’s failure to provide required content on time.
3.3 Project Timeline
We aim to design, develop, and deliver a review-ready website within 3–5 weeks from the date all required content and assets are received from the Client. This timeline is an estimate and is not a guaranteed delivery date. Timelines may be affected by:
The complexity of customisations requested;
Delays in Client feedback or approvals;
Third-party integrations (e.g., WooCommerce, booking systems, external APIs);
Force majeure events as defined in Section 18.
4. Fees, Billing, and Payment Terms
4.1 Monthly Subscription Fees
Monthly subscription fees are billed on a recurring basis from the date your subscription is activated (typically aligned with the date of your first monthly payment following the onboarding fee). Payments are charged in advance, at the beginning of each billing cycle.
4.2 Accepted Payment Methods
We accept payment via the following methods:
Major debit and credit cards (Visa, Mastercard, etc.);
Bank transfer (details provided upon request);
Other payment methods as communicated to you during onboarding.
By providing a payment method, you authorise Al-Junaid Agency to charge all applicable fees to that payment method on the scheduled billing dates.
4.3 Automatic Renewal
Your monthly subscription will automatically renew at the end of each monthly billing cycle unless you cancel in accordance with the cancellation terms set out in Section 7. You will not receive a separate notification prior to each automatic monthly renewal.
4.4 Price Changes
We reserve the right to change our subscription pricing at any time. If we change the monthly fee for your active plan, we will provide at least 30 days’ advance written notice via email. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing. If you do not agree with the new pricing, you may terminate the service subject to the early termination terms in Section 7.
4.5 Taxes
All prices stated are exclusive of applicable taxes, duties, or levies (including but not limited to VAT, GST, or local sales taxes), unless explicitly stated otherwise. You are responsible for paying any applicable taxes imposed by your jurisdiction on services received under this Agreement.
4.6 Failed Payments
If a payment fails or is declined:
We will make up to two (2) retry attempts within a 5-day window following the failed payment date;
You will be notified by email of the failed payment and given an opportunity to update your payment method;
If payment is not received within 7 days of the original due date, we reserve the right to suspend your website and all associated services until the outstanding balance is settled;
Continued non-payment for 30 days beyond the due date may result in permanent termination of your subscription and removal of your website from our servers.
Al-Junaid Agency is not liable for any loss of business, traffic, or revenue resulting from service suspension caused by a failed payment.
4.7 Late Payment Fees
We reserve the right to charge a late payment fee of up to 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) on outstanding balances not paid within 14 days of the due date.
5. Scope of Services and Revisions
5.1 Service Scope
The Build+ service is limited to the features, page counts, and functionality described in the plan you have selected. Work outside the defined scope — including additional pages, custom integrations, third-party API connections, or functionality not listed in your plan — is not included and may be quoted separately.
5.2 Monthly Revisions
Each Build+ plan includes a set number of monthly revision credits as follows:
Starter: 3 revisions per month
Growth: 5 revisions per month
Elite: 9 revisions per month
A “revision” is defined as a single, clearly described change request to an existing element of the website (e.g., changing text on a page, updating an image, adjusting a colour, or modifying a layout section). Revision credits do not roll over to the following month and reset at the beginning of each billing cycle.
The following do not constitute a revision and will be scoped and quoted separately:
Adding new pages or sections not included in the original build;
Developing new functionality or custom features;
Rebuilding or redesigning entire page layouts;
Migrating the website to a different platform or hosting provider.
5.3 Revision Turnaround
We aim to complete submitted revisions within 3–5 business days of receipt for Starter and Growth clients, and within 2–3 business days for Elite clients. Turnaround times may vary during periods of high demand.
5.4 Content and Copy
Unless otherwise agreed in writing, Al-Junaid Agency does not provide copywriting services. It is your responsibility to supply all website text content. If you request copywriting as an add-on service, this will be scoped and charged separately.
6. Hosting and Technical Infrastructure
6.1 Managed Hosting Inclusion
All Build+ plans include fully managed WordPress hosting provided by Al-Junaid Agency on our servers. You are not required to purchase or maintain separate hosting for the duration of your active Build+ subscription.
6.2 SSL Certificate
A valid SSL certificate is included with all Build+ plans and will be installed and maintained throughout the duration of your subscription.
6.3 Hosting Conditions
Your website is hosted on our shared or managed infrastructure under the following conditions:
You may not use the hosting environment to host websites, applications, or services unrelated to the website being delivered as part of your Build+ plan;
You may not use the hosting environment for any illegal, abusive, or resource-intensive activities, including but not limited to cryptocurrency mining, mass email distribution (spam), or hosting of malicious code;
We perform regular backups but do not guarantee recovery of specific data in the event of server failure. We recommend that clients retain copies of all provided content.
6.4 Uptime
We strive to maintain maximum uptime for your hosted website. However, we do not guarantee 100% uptime and shall not be liable for losses arising from downtime caused by:
Scheduled maintenance windows (communicated in advance where possible);
Third-party infrastructure failures (e.g., data centre outages);
DDoS attacks or other malicious activity;
Force majeure events.
7. Cancellation, Early Termination, and Consequences
7.1 Minimum Term Commitment
All Build+ subscriptions are subject to a minimum 12-month commitment. By signing up, you agree to make all monthly payments for the full 12-month term, regardless of whether you actively use the service.
7.2 Early Cancellation
If you wish to cancel your Build+ subscription before the end of the 12-month minimum term, the following applies:
You must notify us in writing (via email to the official contact address provided during onboarding) with a minimum of 30 days’ notice;
Cancellation does not waive your obligation to pay all remaining monthly fees for the full 12-month term. All outstanding monthly payments for the remainder of the agreement become immediately due and payable upon cancellation notice;
No refunds will be issued for payments already made;
Upon cancellation notice and settlement of all remaining payments in full, your website will remain live until the end of the 12-month term, after which it will be taken offline.
Example: If you cancel after Month 4 of a 12-month Starter plan, you are still liable for the remaining 8 months. Your outstanding balance would be 8 × $79 = $632, due immediately upon cancellation.
7.3 Cancellation After the Minimum Term
If you cancel your subscription after completing the 12-month minimum term:
You must provide 30 days’ written notice of cancellation;
No further charges will be applied after the final 30-day notice period;
Your website files will be packaged and made available for download for 14 days following termination, after which we reserve the right to delete all associated files from our servers.
7.4 Effect of Cancellation on Website Ownership
Your right to receive your website files is conditional on:
Completing the full 12-month minimum term and settling all outstanding payments, or
Paying any applicable early termination fee in full.
If you cancel without completing the minimum term and without paying the early termination fee, Al-Junaid Agency retains all rights to the website files, design assets, and codebase produced during the subscription period.
8. Website Ownership and Intellectual Property
8.1 Ownership After 12 Months
Upon successful completion of your 12-month Build+ subscription and settlement of all outstanding payments, full ownership of your website files — including design files, HTML/CSS, WordPress theme files, and page content — is transferred to you.
8.2 Ownership During the Subscription Period
During the active subscription period (prior to completing 12 months), Al-Junaid Agency retains full ownership of all website design assets, code, theme files, and configurations. You are granted a limited, non-transferable, non-exclusive licence to use the website solely for your business purposes for the duration of the subscription.
8.3 Third-Party Assets and Plugins
Certain elements of your website may incorporate:
Licensed stock images or media — you may be required to purchase licences separately if you intend to use the website outside of our hosting environment;
Premium WordPress plugins (e.g., ACF Pro, included in Growth and Elite plans) — plugin licences may be tied to our agency licence account. Upon ownership transfer, you will be responsible for acquiring your own licences for any premium plugins in use.
We will clearly communicate any such dependencies at the time of ownership transfer.
8.4 Client-Provided Content
You retain full ownership of all content, images, text, logos, and brand assets you provide to us. By providing such materials, you grant Al-Junaid Agency a non-exclusive licence to use, reproduce, and display such content solely for the purpose of building and maintaining your website.
8.5 Portfolio Rights
You grant Al-Junaid Agency the right to showcase your completed website in our portfolio, on our website, on social media, and in marketing materials, unless you notify us in writing within 14 days of website launch that you do not consent to such use.
9. Client Responsibilities
By entering into this Agreement, you agree to:
Provide accurate, complete, and timely information required for website development;
Ensure all content, images, and materials you supply are owned by you or properly licensed for use on your website;
Respond to design reviews, feedback requests, and approval prompts within 5 business days. Failure to respond within this window may result in project delays for which we accept no liability;
Not share login credentials or access details to your website with unauthorised third parties;
Not modify, alter, or tamper with the website’s core files, hosting configurations, or database without prior written consent from Al-Junaid Agency;
Notify us promptly of any security concerns, suspected unauthorised access, or website issues.
10. Intellectual Property Warranties
You represent and warrant that:
All content, images, text, logos, trademarks, and other materials you provide to us do not infringe upon any third-party intellectual property rights;
You have obtained all necessary permissions, licences, and consents required to use such materials on a publicly accessible website;
Your website and its content will not violate any applicable laws or regulations.
You agree to indemnify, defend, and hold harmless Al-Junaid Agency, its directors, employees, and contractors from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from any breach of these warranties.
11. Prohibited Uses
You agree that you will not use the Build+ service, including your hosted website, to:
Publish, distribute, or facilitate access to illegal content of any kind;
Promote or engage in harassment, discrimination, hate speech, or targeted abuse;
Engage in phishing, fraud, impersonation, or other deceptive practices;
Distribute malware, viruses, ransomware, or any malicious code;
Infringe upon third-party intellectual property, privacy, or other rights;
Violate any applicable local, national, or international laws or regulations;
Interfere with or attempt to compromise the integrity or security of our servers or infrastructure;
Operate a business that is illegal in your jurisdiction or in the jurisdiction(s) in which your website is accessible.
Violation of this section may result in immediate suspension or termination of your service without notice, without refund, and without liability on the part of Al-Junaid Agency.
12. Confidentiality
Both parties agree to keep confidential any non-public information disclosed by the other party in connection with this Agreement, including but not limited to business strategies, pricing, client data, technical configurations, and proprietary processes. This obligation of confidentiality shall survive the termination of this Agreement for a period of two (2) years.
This clause does not apply to information that:
Is or becomes publicly available through no fault of the receiving party;
Was independently developed by the receiving party without reference to the confidential information;
Is required to be disclosed by law or court order (provided the disclosing party is given prompt written notice where legally permitted).
13. Service Modifications
13.1 Plan Feature Changes
We reserve the right to add, modify, or remove features from any Build+ plan at any time. We will provide at least 30 days’ written notice of any material changes that reduce the features or value of your current plan. If such changes are unacceptable to you, you may terminate your subscription as per Section 7 (early termination fees may still apply).
13.2 Third-Party Services
Certain features of your Build+ website may rely on third-party services (e.g., Google Maps API, WooCommerce, booking plugins). We are not liable for disruptions, changes in pricing, or discontinuation of third-party services that affect your website’s functionality.
14. Limitation of Liability
14.1 Disclaimer of Warranties
The Build+ service is provided “as is” and “as available.” Al-Junaid Agency makes no representations or warranties — express, implied, or statutory — regarding the service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
The service will be uninterrupted, error-free, or completely secure;
The website will achieve specific business outcomes, rankings, or conversion rates;
Third-party integrations will remain available or functional.
14.2 Cap on Liability
To the maximum extent permitted by applicable law, Al-Junaid Agency’s total cumulative liability to you — whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total monthly subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
14.3 Exclusion of Consequential Damages
In no event shall Al-Junaid Agency be liable for any:
Loss of profits, revenue, or business;
Loss of anticipated savings;
Loss of goodwill or reputation;
Loss of data;
Indirect, incidental, special, exemplary, or consequential damages of any kind,
even if Al-Junaid Agency has been advised of the possibility of such damages.
15. Indemnification
You agree to indemnify, defend, and hold harmless Al-Junaid Agency, its owner, employees, contractors, and agents from and against any claims, demands, legal proceedings, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of or access to the Build+ service;
Your breach of any provision of these Terms;
Your violation of any applicable law or regulation;
Any content you provide or publish through your website;
Any infringement of third-party intellectual property or privacy rights by you.
16. Suspension of Services
We reserve the right to suspend your website and all associated services immediately and without prior notice in the following circumstances:
Non-payment of any fees outstanding for more than 7 days;
Violation of the Prohibited Uses policy (Section 11);
Reasonable suspicion of illegal activity involving your website or account;
Security incidents posing a risk to our infrastructure or other clients’ websites.
We will notify you by email as soon as reasonably practicable following a suspension. Suspended websites will be restored within a reasonable timeframe upon resolution of the underlying issue and settlement of any outstanding payments.
17. Termination by Al-Junaid Agency
We reserve the right to terminate your Build+ subscription with 30 days’ written notice at our discretion, including but not limited to situations where:
Your account remains in non-payment for an extended period;
You repeatedly violate these Terms;
We determine in our sole judgement that the business relationship cannot be maintained.
In the event of termination by us without cause, and provided you have completed at least 6 months of your subscription and are in good standing, we will transfer your website files to you and issue a pro-rata refund for any prepaid subscription fees for the unused portion of your current billing cycle.
18. Force Majeure
Al-Junaid Agency shall not be liable for any delay or failure to perform its obligations under this Agreement where such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to:
Acts of God, natural disasters, or extreme weather events;
War, terrorism, civil unrest, or government action;
Pandemics, epidemics, or public health emergencies;
Internet outages, data centre failures, or infrastructure disruptions beyond our control;
Industrial disputes, labour shortages, or supply chain interruptions.
We will notify you promptly of any force majeure event and make commercially reasonable efforts to resume services as quickly as possible.
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions.
19.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or the Build+ service, both parties agree to first attempt to resolve the matter through good-faith negotiation. You agree to contact us at our official email address and allow up to 30 days for us to respond and attempt resolution before pursuing formal legal action.
19.3 Jurisdiction
If a dispute cannot be resolved through negotiation, both parties submit to the non-exclusive jurisdiction of the competent courts of the Arab Republic of Egypt. Nothing in this clause prevents Al-Junaid Agency from seeking urgent injunctive relief in any jurisdiction.
20. Privacy and Data Protection
Your use of the Build+ service is subject to our Privacy Policy, available at aljunaid.co/privacy-policy. By using the service, you consent to the collection, processing, and storage of your personal data as described in that policy, in compliance with applicable data protection laws.
We will not sell, rent, or share your personal data with third parties for their own marketing purposes without your explicit consent.
21. Communications and Notices
All notices, requests, consents, and other communications under this Agreement shall be in writing and delivered:
By email to the address provided by you during onboarding, and/or
Via the support communication channels available under your plan (email, WhatsApp, or Slack as applicable).
Notices sent by email are deemed received 24 hours after sending, provided no delivery failure notification is received. It is your responsibility to ensure your contact email address remains current and accurate.
22. Entire Agreement
These Terms, together with the Build+ plan description at the time of sign-up, the onboarding agreement, and our Privacy Policy, constitute the entire agreement between you and Al-Junaid Agency with respect to the Build+ service and supersede all prior or contemporaneous negotiations, representations, warranties, or agreements, whether written or oral, relating to the subject matter hereof.
23. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely reflects the original intent.
24. Waiver
No failure or delay by Al-Junaid Agency in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right. Any single or partial exercise of any right shall not preclude further exercise of that right or any other right.
25. Amendments to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will:
Update the “Last Updated” date at the top of this page;
Notify active subscribers by email at least 14 days before the changes take effect.
Your continued use of the Build+ service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree, you must cancel your subscription in accordance with Section 7.
